JERSEY OLD MOTOR CLUB LIMITED BYLAWS 1.
Membership (a) Membership of the Club shall be open to all persons subject to the approval of the Board of Directors. (b) For the avoidance of doubt, it is not necessary to own an Eligible Vehicle to qualify for membership provided always that the Board of Directors shall ensure no more than 25% of Members shall be non-Eligible Vehicle owners or joint owners. (c) Application for Membership must be in writing on the prescribed form supplied by the Secretary. (d) A Member may resign his/her membership in accordance with Article 6 of the Articles of Association of the Club. (e) Should the conduct of any Member where in connection with Membership or otherwise, be in the opinion of the Directors, injurious to the character or interests of the Club, the Directors shall have power to expel that person from the Club and such expulsion shall comply with the provisions of Article 8 of the Articles of Association of the Club. Nevertheless the Member who is to be expelled may ask to appear before the Directors and present his/her case. (f) Any person ceasing to be a Member of the Club, for whatever reason, shall cease to have any claim whatsoever on the property of the Club or to enjoy any of the privileges of membership and shall forthwith return any Club property and pay any debts to the Club immediately. 2.
Eligibility Sub-Committee (a) The Directors will appoint an Eligibility Sub-Committee which will consist of a minimum of any two Members of the Club. (b) The Directors will appoint one member of the Eligibility Sub-Committee to be Chairman of the Sub-Committee. (c) Any one member of the Eligibility Sub-Committee shall be empowered to examine a vehicle prior to its entry in a Club event to ensure that it is an Eligible Vehicle. (d) The decision of the Eligibility Sub-Committee shall be final provided always that the Directors will have a right of veto of any decision taken by the Eligibility Sub-Committee. (e) An Eligibility Certificate may be recommended by any one member of the Eligibility Sub-Committee to be issued by the Chairman of the Eligibility Sub-Committee. (f) The Eligibility Sub-Committee shall report on a regular basis to the Directors or as often as required by the Directors. 3.
Special Events Sub-Committee: (a) The Directors will appoint a Special Events Sub-Committee which will consist of a Chairman, a Treasurer and a minimum of two other Members. (b) The Special Events Sub-Committee shall be responsible for proposing Club events to the Directors and organising any Club events which have been agreed by the Directors. (c) The Special Events Sub-Committee shall report on a regular basis to the Directors or as often as required by the Directors. 4.
Objects of the Club: (a) To encourage ownership and use of vehicles acceptable to the Club in Rule 2(b). (b) To provide information and advice on, and encourage the restoration and preservation of such vehicles. (c) To promote and organise events and social gatherings for Members. (d) To keep a watching brief over the proposed laws and regulations affecting motoring, with particular reference to old motor vehicles, and make representation and recommendations in connection with it. (e) To further the motoring interests of the Members generally, and where necessary or desirable, to join with other persons to this end. (f) To encourage courtesy, good driving and safety on the roads. (g) To organise and promote collective benefits for Members and their vehicles. (h) For the avoidance of doubt, clauses (a) to (g) hereabove are for the purposes of guidance only and are non-exclusive of any other activities the Club may undertake. 5.
Membership fees: (a) An entry fee will be charged on all new Members of the Club. (b) An annual subscription fee will be charged on all Members of the Club. (c) The entry and annual subscription fees will be determined from time to time by the Directors who will notify the Members accordingly. (d) Reduced entry and annual subscription fees may be charged, at the discretion of the Directors and on a scale of fees to be determined by them from time to time, in the following circumstances: (i) for each additional Member of the same household; (ii) for joint owners of an Eligible Vehicle. (e) Unless otherwise determined by the Directors, the subscription year shall run from 1st January to 31st December. (f) The current entry and annual subscription fees are obtainable on enquiry to the Secretary of the Club. (g) Unless otherwise determined by the Directors, new Members elected on or before 30th September shall pay the full subscription fee for that year. Those elected after the 30th September shall be deemed to have paid the full subscription fee for that year. 6.
Management of the Club: (a) The activity of the Club shall be managed by the Directors in accordance with the Articles of Association, the Bylaws and any regulations for the time being of the Club. (b) The Board of Directors shall consist of seven Members, being four Officer and three other Members. (c) The Officers of the Club shall be the Chairman, Vice-Chairman, Secretary and Treasurer who shall be elected by the Directors among themselves. (d) The Board of Directors shall be elected on an annual basis at the Annual General Meeting. There shall be no restriction on a current Director to seek re-election to the Board of Directors. (e) The Directors may at their own discretion fill any vacancy in the Board of Directors (whether an Officer or not), which may occur during the year. (f) The quorum for meetings of the Board of Directors shall be four. (g) The Board of Directors shall meet monthly or as often as may be necessary. (h) The Board of Directors shall be the sole authority as to the interpretation of the Articles, Bylaws and regulations of the Club. 7.
General Meetings (a) A Notice calling a General Meeting, specifying when and where it is to take place, shall be sent to each Member in accordance with the Articles of Association (b) Every Notice calling a General Meeting shall be accompanied with an Agenda for the General Meeting. (c) The quorum for a General Meeting shall consist of six Members other than Directors. (d) Unless otherwise determined by the Directors, the Annual General Meeting shall normally be held before the end of March and shall be at a place and time that the Directors shall prescribe. 8.
General: (a) The Club shall not be responsible in any way for any accident caused by or to any Member taking part in any Club event, whether social or motoring and all Members shall be deemed to have taken out necessary insurance cover. (b) All motor sport events shall be run under the Regulations of the Motor Sports Association and all participating Members shall be bound to comply with these Regulations in addition to any regulations imposed by the Club (including the Articles of Association of the Club and its Bylaws). (c) At the discretion of the Directors, any guests of Members may be authorised to participate in Club events and such guests shall be deemed to have taken out necessary insurance cover. (d) Membership of the Club is a privilege which entitles a Member to take part in Club events and to participate in the general activities of the Club. In acknowledgment of these rights and advantages, each Member undertakes to comply with the Articles of Association, the Bylaws and any rules and regulations imposed from time to time by the Club or its Directors. |
